Job Summary

As Associate General Counsel, Commercial Contracts, you will report directly to the General Counsel and will be responsible for leading Nextracker's Commercial Contracts team, which includes both out customer contracts and supplier contract teams. 

PRIMARY RESPONSIBILITIES & TASKS

  • Integrating and partnering with the business unit leadership team, providing sound legal advice and risk mitigation measures to ensure successful business outcomes
  • Drafting and negotiating commercial agreements and ancillary agreements
  • Managing a team of commercial lawyers to enhance their productivity and strategic importance to the company
  • Support, build positive relationships with, and provide authoritative legal guidance to the legal commercial team as well as other internal business teams.
  • Work collaboratively to identify and implement process improvements and support updates to internal playbooks and templates
    Manage and meet internal SLAs, and help juggle priorities in a fast-moving environment
  • Own specific legal projects and develop subject matter expertise regarding legal issues faced by the customer contracts team and internal business partners
  • Reviewing solicitations, strategizing approaches for responding, drafting sections addressing particularly legal topics, such as data rights and privacy
  • Selecting and managing outside when needed
  • Assisting commercial contracts personnel with complex or risk-sensitive terms and conditions, such as limiting liability, indemnification, and grounds for termination.
  • Developing and implementing intellectual property strategy in the company's contracts
  • Strategizing, advising and leading steps to resolve customer and supplierdisputes, and selecting and managing outside litigation counsel when needed
  • Participating in and contributing to Legal Department discussions on corporate-wide topics, policies, and procedures
  • Participating in and contributing to Legal Department updates on changing laws and regulations and other continuing education
  • Other duties as assigned by the General Counsel

QUALIFICATIONS

  • Juris Doctorate from an accredited Law School.
  • Licensed to practice law in the United States and active membership in at least one state bar
  • 7-12 years of experience as outside commercial contracts counsel
  • Experience advising executive clients on business and transactional matters (contracts, agreements, business strategy)
  • Demonstrated leadership ability, preferably as a counsel for a business segment of a technology-driven company.
  • Ability to perform the role of hands-on legal generalist.
  • Demonstrated ability to interact effectively and collaboratively in a fast-paced and complex organizational structure
  • Strong interpersonal and communication skills
  • Ability to analyze complex issues and provide recommendations in an executive-worthy manner
  • Ability to develop strong client relationships while maintaining an independence appropriate to a compliance function
  • Strong communication skills (written and oral).
Pay Range (Applicable to California) $227,300.00 USD - $312,500.00 USD Annual Job Category LegalRelocation: Not eligible
