Description
The Corporate Counsel provides business-oriented legal advice and counsel primarily to the Supply Chain, Distribution, and Procurement business units regarding transactions, contracts, applicable laws and regulations, and legal disputes.
Duties and Responsibilities
- Provide advice primarily on corporate supply chain and distribution-related matters, initiatives, projects, and complex contractual relationships, from strategy/planning and RFP through execution and implementation.
- Negotiate, draft, and review a wide variety of contracts and agreements, including those involving professional services and consulting; goods and services vendors and suppliers; construction and construction management; equipment purchase, lease, and installation; material handling; software services and licensing; IT and connectivity; temporary and contract staffing; and other subjects.
- Identify, assess, and mitigate risk involving contractual matters.
- Support the development and implementation of, and ongoing compliance with, internal policies and procedures.
- Manage ongoing project prioritization with business leaders.
- Participate in and assist with the resolution of contract-related claims and disputes.
- Manage multiple projects and teams of internal clients under tight deadlines.
- Learn, understand, and utilize business and operational needs and requirements.
- Be a team player capable of working both collaboratively and independently to resolve time-sensitive issues and respond to requests.

- Travel: Up to 5%

Requirements
Education and Experience
Education Requirements
- Juris Doctor (JD) from a top tier law school and licensed to practice law in the United States.
Years of Experience
- 5 - 8 years transactional (legal) experience with top law firms or similar in-house roles.
Skills
- Strong transactional background (experience with supply chain & distribution contracts preferred).
- Strong negotiation and problem-solving skills; take a leadership role in transactions and develop solutions and compromises to resolve complex issues in creative, efficient, and practical ways.
- Ability to multi-task, prioritize, and meet deadlines in a high-volume and fast-paced environment.
- Excellent written and oral communication skills; communicate effectively at all levels within the company (including senior management) and with external vendors and outside legal counsel.
- Ability to work both collaboratively and independently, without supervision, and with a high degree of flexibility and adaptability.
- Proficiency with the Microsoft Office application suite (especially Word and Excel).
Physical Requirements
General office environment requiring ability to:
- Stand, walk, sit for extended periods of time.
- Speak and listen to others in person and over the phone and video conferencing.
- Use keyboard and read from computer screen and reports.
- The ability to lift up to 15 lbs.
