Find your calling at Mercy! The Associate Counsel provides independent legal counsel across multiple functional areas, advises leaders, and manages selected projects. This role supports the mission and values of a nonprofit, patient-centered health system by providing practical legal guidance that enables operational and clinical teams to meet strategic objectives while maintaining regulatory compliance. Position Details:

This particular role will focus on supporting Mercy's commercial contracting needs (excluding physician contracting). Mercy reviews, revises, processes and maintains vendor relationships across multiple segments of its healthcare business. Skills desired include the following:

  • Complex Commercial Contracting: Demonstrated expertise drafting, negotiating, and structuring complex commercial agreements, including vendor, technology, services, consulting, and strategic partnership arrangements.
  • Healthcare Regulatory Fluency: Strong working knowledge of healthcare regulatory frameworks affecting commercial relationships, including Stark Law, Anti-Kickback Statute, and HIPAA, with the ability to structure compliant arrangements.
  • Technology and Data Contracting: Experience negotiating agreements involving digital health, SaaS platforms, data sharing, cybersecurity, and intellectual property.
  • Risk Assessment and Mitigation: Ability to identify legal and operational risks in complex transactions and develop practical contractual solutions that balance innovation with risk management.
  • Strategic Business Partnership: Proven ability to work cross-functionally with clinical, operational, finance, IT, and procurement leaders to translate business objectives into effective contractual structures.
  • Contract Governance and Efficiency: Experience supporting contract lifecycle management, developing templates and standards, and improving contracting processes in a high-volume, enterprise environment.
