Director, Corporate Development (M&A) - SpinCo

Flex intends to spin off its Cloud and Power Infrastructure segment into a new, independent publicly traded company, which we're calling SpinCo, until the name is unveiled. The spin is planned for Q1 2027. If the intended spin occurs, this role will support SpinCo, which will focus on critical digital infrastructure, delivering end-to-end power and thermal management solutions for AI data centers and other mission-critical applications.

The Director, Corporate Development, supports the SVP, Corporate Development by leading strategic transactions and portfolio initiatives that enhance SpinCo's growth, capabilities, and long-term shareholder value.

The role partners with business and functional leaders to evaluate acquisitions, divestitures, strategic investments, partnerships, and joint ventures to support the company's inorganic growth strategy.

What a typical day looks like:

  • Partner with business leaders to identify, evaluate, and prioritize acquisitions, divestitures, strategic investments, joint ventures, and partnerships that support SpinCo's growth strategy and portfolio objectives through market analysis, competitive assessment, and strategic opportunity evaluation.
  • Lead the evaluation of potential transactions, including strategic fit, financial modeling, synergy identification, valuation, risk analysis, and expected financial returns.
  • Lead end-to-end M&A execution processes including leading cross-functional due diligence teams, negotiation, transaction structuring, definitive agreement support, regulatory approvals, and closing activities.
  • Develop and present investment recommendations, strategic analyses, and transaction updates to executive leadership.
  • Facilitate transaction approval processes and governance reviews.
  • Support development of corporate development processes, governance frameworks, and best practices to enable scalable execution.
  • Promote best practices, tools, and methodologies for deal evaluation and strategic financial analysis across the organization.
  • Build and maintain strong relationships with internal and external stakeholders, including senior leaders, advisors, and potential partners.

What we're looking to add to our team:

  • Advanced degree (MBA preferred) with a concentration in Finance or Accounting from a top-tier institution.
  • 10+ years of experience in Corporate Development, Investment Banking, Private Equity, or Transaction Advisory.
  • Experience leading a broad range of transactions through cross-functional due diligence, valuation, contract negotiation, and full-cycle M&A execution.
  • Demonstrated strong financial modeling, valuation, and strategic analysis capabilities.
  • Public company experience is preferred.
  • Experience developing compelling and succinct presentation materials and presenting effectively to senior management.
  • Excellent negotiation, communication (both verbal and written), and stakeholder management skills.
  • Ability to travel approximately 20% as required.
  • Must reside or be willing to relocate to Austin, TX.

  • Collaborative leader with the ability to influence without direct authority, build strong cross-functional partnerships, and develop high-performing teams.
