The role is to act as contracts negotiator for European contract services operations, and to provide corporate and transactional advice, guidance and services to the Bank and its business lines.
This position is responsible for the vendor contracting process including contract drafting, review, risk analysis and negotiation of contract terms and conditions. This position has an advanced understanding of applicable laws, regulations, financial services and regulatory trends. The position ensures vendor contracts are compliant with applicable European and local law, rules and regulations as well as U.S. Bank/ EFS policies. The position supports Business Line and Corporate Procurement led initiatives.
Job scope and complexity of assigned tasks is broad and very complex.
The position requires the ability to draft creatively, provide creative solutions to resolve conflict with vendors and internal groups, lead and work on multiple contracts at one time under tight deadlines and take ownership of workload. The position will be responsible for ensuring the Third Party Contracting Policy is adhered to.
Draft, review, and revise a variety of contractual instruments involving Elavon's interests or the interests of customers. Use standard contract templates as a starting point and negotiate legal terms and conditions contained in vendor agreements. Mitigate Risk through reviewing and revising vendor documents to meet U.S. Bank and Elavon's regulatory and compliance. Work with the Legal Department and Corporate Compliance on complex legal issues related to vendors. Interact directly with all levels in the organization, including senior management providing consul and advice regarding contractual risk management and mitigation options within the contract negotiations. Examine and analyze contractual situations and provide recommendations related to the appropriate contractual documentation to Corporate Procurement or Business Line contract owner, including contract consolidation efforts to reduce and eliminate redundant agreements between Bank and its suppliers. Lead projects and negotiations related to exception and resolution activities providing guidance and framework to adhere to Enterprise Risk and Compliance policies. Establish and maintain working relationships with internal business partners and outside resources, including suppliers and supplier legal representation. Ability to act as a key partner and resource for EFS in contract negotiations and execution. Works across multiple business lines across the enterprise with advance understanding of business line objectives. Must feel comfortable communicating with all levels within the organization, including Senior/Executive Management.
Skills and Disposition:
Experience dealing with vendor and risk management issues.
Knowledge of contract data bases to effectively manage key events pertaining to risks and compliance issues related to contracts.
Strong verbal and written communications.
Ability to work with legal personnel on contract Terms & Condition's requirements.
Collaborates with subject matter expert groups to draft specific compliance terms and conditions.
Works to improve internal customer satisfaction customer satisfaction with and service from U.S. Bank vendors, as well as reduce overall cost.;
Provides training and education in the area of contracting processes throughout the European organisation.
Confident working with multiple projects and deadlines simultaneously;
Legal qualification in Europe (qualified as solicitor or barrister); or
Practical experience within a regulated firm; and
Pan-European and previous regulatory or compliance experience highly regarded
